Terms of Service
1. Who we are
ORDEX SYSTEMS, LLC (“ORDEX”, “we”, “us”) provides the APRA — AI Project Risk Analyzer service (“APRA”, the “Service”). These Terms govern your access to and use of the Service.
2. Eligibility and accounts
- You must be legally able to enter into a contract.
- You are responsible for all activity under your account and for maintaining the confidentiality of credentials.
- You must provide accurate information and keep it up to date.
3. Subscription, billing, trials, and refunds
APRA may be offered under subscription plans, free trials, usage-limited access, or enterprise agreements. Pricing, usage limits, plan features, and payment terms are shown at purchase, in the Service, and/or in an applicable Order Form.
- Free trials: APRA may offer a limited 14-day trial. Trial access, features, usage limits, and availability may vary and may be modified, suspended, or discontinued by ORDEX SYSTEMS at any time.
- After trial expiration: access to certain features may be restricted until a paid subscription is activated or an administrator extends access.
- Subscription changes: customers may upgrade, downgrade, or cancel subscriptions according to options made available through the Service or by contacting ORDEX SYSTEMS.
- Payment processing: payments may be processed through third-party payment processors such as Stripe. ORDEX SYSTEMS does not store full payment card numbers.
- Fees are generally non-refundable unless required by law or explicitly stated in an Order Form.
- We may suspend or limit access for non-payment, suspected abuse, security risk, or violation of these Terms after reasonable notice when practical.
4. Acceptable use
You agree not to:
- Probe, scan, or test the vulnerability of the Service or any connected system.
- Reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law.
- Use the Service to transmit malware, spam, or unlawful content.
- Interfere with or disrupt the Service, including by excessive automated requests.
5. Your data, outputs, and predictive analytics disclaimer
- Your Input: You retain ownership of project data you upload or submit (“Customer Data”).
- Outputs: APRA produces analytics, risk estimates, simulations, forecasts, reports, recommendations, and portfolio insights (“Outputs”) based on Customer Data, configuration, assumptions, and statistical methodologies.
- Predictive nature: Outputs are probabilistic and informational. APRA is intended to assist users in evaluating project conditions and potential outcomes; it is not a guarantee of future performance.
- No guaranteed outcomes: APRA does not guarantee project success, delivery dates, schedule outcomes, financial performance, return on investment, cost savings, resource availability, business results, or operational outcomes.
- Customer responsibility: You are solely responsible for validating Customer Data, reviewing Outputs with qualified personnel, and making all business, financial, operational, project management, and strategic decisions.
- Data quality: The accuracy, completeness, and usefulness of Outputs depend on the quality of Customer Data submitted to APRA. ORDEX SYSTEMS is not responsible for inaccuracies, omissions, delays, losses, or business impacts resulting from incomplete, inaccurate, outdated, or misleading Customer Data.
6. Confidentiality
Each party agrees to protect the other party’s non-public information using reasonable safeguards.
7. Intellectual property
We retain all rights in the Service, except for Customer Data. You receive a limited, non-exclusive, revocable license to use the Service during your subscription term.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDEX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ORDEX FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
10. Service availability and maintenance
ORDEX SYSTEMS uses reasonable efforts to maintain the Service, but does not guarantee uninterrupted, error-free, or always-available operation. The Service may be unavailable due to maintenance, upgrades, security actions, infrastructure issues, third-party outages, or events beyond our control.
11. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles, unless applicable law requires otherwise.
12. Changes
We may update these Terms from time to time. If changes are material, we will provide notice by posting updates and/or via email.
